• User or Users means any third party that accesses the Website and is not either (i) employed by Daniel Lee trading as The SEO On Demand and acting in the course of their employment or (ii) engaged as a consultant or otherwise providing services to Daniel Lee trading as The SEO On Demand and accessing the Website in connection with the provision of such services.
• Client or Clients means individuals or individuals representing entities who have subscribed to the paid Subcription via theseoondemand.com and also have an active paid Subscription.
• Subscription means an active subscription to the paid subscription plan on theseoondemand.com.
• Subscriber Service or Subscriber Services means the services rendered to Clients who have an active paid Subscription to theseoondemand.com paid Subscription plan.

You must be at least 18 years of age to use this Website. By using the Website and agreeing to these terms and conditions, you represent and warrant that you are at least 18 years of age.

Intellectual property and acceptable use

1. All Content included on the Website, unless uploaded by Users, is the property of Daniel Lee trading as The SEO On Demand, our affiliates or other relevant third parties. In these terms and conditions, Content means any text, graphics, images, audio, video, software, data compilations, page layout, underlying code and software and any other form of information capable of being stored in a computer that appears on or forms part of this Website, including any such content uploaded by Users. By continuing to use the Website you acknowledge that such Content is protected by copyright, trademarks, database rights and other intellectual property rights. Nothing on this site shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark, logo or service mark displayed on the site without the owner’s prior written permission

4. You may cancel your registration at any time by informing us in writing to the email address at the end of these terms and conditions. If you do so, you must immediately stop using the Website. Cancellation or suspension of your registration does not affect any statutory rights.

Subscription

1. You may use the Subscriber Service only if you have an active Subscription and can form a binding contract with Daniel Lee, trading as The SEO On Demand, and only in compliance with this Agreement and all applicable laws, rules and regulations. Any use or access to the Subscriber Service by anyone under 18 is strictly prohibited. The Service may not available to any Clients previously removed from the Subscriber Service by Daniel Lee, trading as The SEO On Demand.
2. After completing signup to paid Subscription, you will receive an email from us via Stripe acknowledging that we have received your first payment. Please note that this does not mean that your Subscription has been accepted. Your Subscription constitutes an offer to the Provider to buy Subscriber Services by subscribing to a Subscription. All orders are subject to acceptance by us, and we will confirm such acceptance to you by sending you an email that confirms that your Subscription has been accepted (The Welcome Email). The contract between the Provider and the Client (Contract) will only be formed when the Provider sends the Client the Welcome Email.
3. The Subscription plan to our Subscriber Services consist of an initial charge and then followed by recurring period charges as agreed to by the Client. By entering into this Agreement you, the Client, acknowledge that your Subscription has an initial and recurring payment feature and you, the Client, accept responsibility for all recurring charges prior to cancellation. Daniel Lee, trading as The SEO On Demand, may submit periodic charges (e.g., monthly, annually) without further authorisation from you, the Client, until you provide prior notice that you have terminated this authorisation or wish to change your payment method. Such notice will not affect charges submitted before Daniel Lee, trading as The SEO On Demand, reasonably could act. Daniel Lee, trading as The SEO On Demand, cannot alter or cancel this for you.
4. By subscribing to our Subscriptions you, the Client, are agreeing to pay recurring periodic subscriptions for an indefinite time until cancelled by you, the Client, on the subscription terms set out in the application form you have completed. You can cancel your subscription at any time. You will not be charged for any cancellation. You can re-subscribe at any time following your cancellation, but we reserve the right not to permit re-subscription where we have previously elected to terminate a subscription by you.
5. Subscription Pausing: You can pause your Subscription at any time. Any unused days of your Subscription can then be used again once you un-pause your Subscription. No recurring payments will be taken until you un-pause your Subscription.
6. We reserve the right at our absolute discretion not to renew your Subscription at any time without giving any reasons for our decision.

Price and Payment

1. The price of the Subscription will be as quoted on our site from time to time, except in cases of obvious error.
2. Prices do not include VAT.
3. Subscription prices are liable to change at any time, but changes will not affect existing Subscription unless otherwise stated. In the case of a price increase for existing Subscriptions, Clients will be notified via email and given the opportunity to cancel their Subscription.
4. Payment for all Subscriptions are process via Stripe.

Refunds

1. Due to the highly custom nature of the work, refunds will not be provided for any Subscription.
2. Any requests for refunds by the Client for the Subscription or Subscriber Services will be at the sole discretion of Daniel Lee, trading as The SEO On Demand. All refund requests will be considered on a case by case basis.
3. If a refund request is approved, the remaining billable period of the Subscription will be refunded minus any payment processing transaction costs for the billable period, and any payment processing transaction costs for the refund.

Subscriber Services

1. The Client grants permission to use specific keywords and/or phrases for developing and improving the ranking of the Client’s website(s) in approved search engines.
2. The Client can submit unlimited Subscriber Services requests to the Provider, within the technical limitations of Trello, the platform used by the Provider to manage Subscriber Services requests.
3. The Provider will work on and deliver one Subscriber Services request at a time.
4. The Provider retains all rights to determine what constitutes a single Subscriber Services request.
5. The Provider retains all rights to determine which activities and services are included with the Subscriber Services.
6. The Provider retains all rights to refuse any particular Subscriber Service request.
7. The Provider retains all rights to amend Subscriber Services requests as the Provider deems necessary.
8. The is no guarantee for the timeframe and/or date and time that the Provider will complete and deliver any particular Subscriber Services request.
9. The Provider retains the right to hire third-parties to work on Subscriber Services requests as the Provider deems necessary.

Subscriber Services Liability

1. The Provider has no claim or control of any participating search engine directory or regulations. If at any point the Client’s website or other online properties, such as social media profiles, are excluded from said search engines, it will not be at the fault of the Provider.
2. The Provider does not guarantee any search engine rankings for specific keywords due to the complex, competitive nature of SEO. 
3. The Client recognises that some websites will drop search engine results page listings for no apparent reason, therefore the Provider will not be help liable for any search engine penalties or dropped search engine results page listings from search engine websites 
4. The Client asknowledges that site rankings change and can fluctuate any day, and any time because of ongoing changes in the ranking algorithms of search engines. Actual ranking improvements may take months to achieve and the Client will expect reasonable results as such. 
5. The Client guarantees all elements of text, graphics, photos, designs, trademarks, or other artwork provided to be their property.

Events outside of our control

1. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms and Conditions that is caused by events outside our reasonable control (Force Majeure Event).
2. A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes in particular (without limitation) the following:
   • Strikes, lock-outs or other industrial action;
   • Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war;
   • Fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster;
   • Impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport;
   • Impossibility of the use of public or private telecommunications networks; and
   • The acts, decrees, legislation, regulations or restrictions of any government.
3. Our performance under these Terms and Conditions are deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use our reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which our obligations under the Terms and Conditions may be performed despite the Force Majeure Event.

Non-Disclosure Agreement (NDA)

1. The Provider agrees to keep all information obtained during the term of this agreement between the Provider and the Client confidential.
2. The Client will not disclose any confidential information without prior written consent from the Provider.
3. The Client agrees to uphold the highest level of respect for all individuals employed by the Provider during and at anytime following these agreement terms.  

Password and security

1. When you register on this Website, you will be asked to create a password, which you should keep confidential and not disclose or share with anyone.
2. If we have reason to believe that there is or is likely to be any misuse of the Website or breach of security, we may require you to change your password or suspend your account.

Links to other websites

1. This Website may contain links to other sites. Unless expressly stated, these sites are not under the control of Daniel Lee trading as The SEO On Demand or that of our affiliates.
2. We assume no responsibility for the content of such Websites and disclaim liability for any and all forms of loss or damage arising out of the use of them.
